Terms and Conditions

1. Scope and Conclusion of Contract

Offers by PRO TRONICS are non-binding. A contract is only concluded upon written order confirmation by PRO TRONICS.

A delayed or missing confirmation does not imply waiver of acceptance and does not entitle the customer to unilateral cancellation, unless a specific acceptance period has been expressly agreed in writing.

In the case of market-related shortages or complex procurement processes (e.g., special sourcing or broker goods), PRO TRONICS reserves an appropriate processing time.

If the customer requires a binding response time, this must be agreed in writing before placing the order.

 

1a. Delayed Order Confirmation / Binding Nature of Offers

These Terms and Conditions apply to all offers, sales, deliveries, and services provided by PRO TRONICS, EURL.
A contract is concluded exclusively upon receipt of a written or emailed order from the customer. Orders via the website or telephone are excluded.
All offers are non-binding and subject to change.

2. Prices and Payment Terms

All prices are net, excluding VAT and shipping costs.
Payments are due within 30 days from the invoice date.
In case of default, the statutory default interest rate pursuant to Article 441-6 of the French Commercial Code applies.

Prepayment: Required only if expressly stated in the offer.

2a. International Deliveries – Export Fees & Handling Charges

For deliveries outside the European Union, additional charges may apply, such as export duties, import VAT, customs clearance fees, and handling charges imposed by logistics providers or customs authorities. These costs are not included in the product price or standard shipping rates and must be borne by the customer, unless expressly agreed otherwise in writing.

To cover the administrative effort related to international shipments, PRO TRONICS charges a flat export and handling fee in a reasonable amount, reflecting the complexity of the export process (e.g. preparation of customs documents, certificates of origin, export declarations, coordination with third-party service providers). This fee generally amounts to EUR 150.00 net per shipment, but may vary depending on the destination, shipping method, or regulatory requirements.

The customer is responsible for providing all required export information accurately and in full, and for ensuring compliance with applicable import regulations in the destination country.

3. Delivery and Delivery Delays

Delivery dates are non-binding.
Delays caused by carriers, customs, manufacturers, or force majeure release PRO TRONICS from the obligation of timely delivery without entitling the customer to cancel the order.
In such cases, an adjusted delivery time will be communicated.

4. Retention of Title

Delivered goods remain the property of PRO TRONICS until full payment is received.

5. Returns and Cancellations

Returns and cancellations require express written approval.
Cancellation fees: 10% of the order value before shipment, 20% after shipment.
Products specially sourced or manufactured at the customer's request are excluded from return and cancellation.

6. Product Liability

Liability by PRO TRONICS is limited to the value of the goods.
No liability is accepted for indirect or consequential damages.
Manufacturer liability remains with the original manufacturer.

7. Warranty and Product Inspection

PRO TRONICS inspects all incoming products under a documented internal quality assurance process, including visual inspections and documentation checks, with additional measures if necessary.

No general legal warranty is granted unless explicitly stated. Warranty coverage depends on the supplier status, product origin, and applicable manufacturer conditions.

For products from official distribution (e.g., under manufacturer contracts), the manufacturer's warranty conditions apply.
Warranty claims for Taijin Technology products (Korea) distributed via PRO TRONICS are subject to a 2-year warranty from the delivery date, covering proven manufacturing defects only.

Warranty claims must be processed via PRO TRONICS. Direct customer communication with Taijin Technology is permitted, but case handling will be managed exclusively through PRO TRONICS.

No general warranty applies to broker-sourced products. Defect claims are handled case-by-case based on component origin and verifiability.

8. Credit Notes and Refunds

Credit notes are generally issued for future purchases.
Cash refunds are only granted in case of overpayment or upon written agreement.
NC/NR (Non-Cancellable/Non-Returnable) orders are excluded from return and credit.

9. Quality Control & Counterfeit Risk Mitigation

PRO TRONICS actively mitigates the risk of counterfeit, unauthorized, or altered electronic components.
All incoming products undergo documented visual and documentation inspection based on ISO 9001:2015, EN 9120, and IDEA-STD-1010 standards.
Suspect goods are quarantined. Only compliant products are delivered.

10. Documentation and Traceability

All relevant documents (e.g., CoC, datasheets, invoices) are archived for at least 10 years.
Traceability is ensured according to internal quality assurance guidelines.

11. Jurisdiction and Governing Law

French law exclusively applies.
Place of jurisdiction is Melun, France.

​

12. Severability Clause

If any provision is or becomes invalid, the validity of the remaining provisions remains unaffected.
Invalid provisions shall be replaced with economically equivalent provisions.

13. Changes to the Terms and Conditions

PRO TRONICS reserves the right to amend these Terms and Conditions at any time.
Changes will be communicated in writing and deemed accepted unless the customer objects in writing within 14 days.
